CR 18/2024 Registration of the Amendment to the Articles of Association

The Management Board of LPP SA (hereinafter referred to as the “Issuer”) informs that on 1 July 2024 it has acquired the knowledge that the District Court for Gdańsk-North in Gdańsk, 7th Commercial Department of the National Court Register, has recorded in the Register of Entrepreneurs, information on the amendment to the Issuer’s Articles of Association and increasing the share capital as a consequence of the issue of shares as part of the authorised capital. The Issuer informed about the adoption of the relevant resolution of the Management Board in the Current Report no. 12/2024 of 11 June 2024.

Detailed information is presented below:

1. Date of registration of the amendment to the Articles of Association by the court – 28 June 2024
2. amount, structure of share capital and par value of shares – as a result of issuance of 700 M series ordinary bearer shares of the nominal value of PLN 2 per share, the level of the Issuer’s share capital amounts to PLN 3,711,780 divided into 350,000 preference registered shares and 1,505,890 ordinary bearer shares of the nominal value of PLN 2 per share,
3. the total number of votes attached to all shares issued – 3,255,890 votes at a general meeting (including 700 votes arising from the new shares),
4. the amount of the outstanding authorised capital for subscription – PLN 3,974,
5. the wording of amended or new provisions of the Articles of Association – as a consequence of share capital increase as part of the authorised capital and the issuance of 700 M series shares, the following amendments have been introduced:

• paragraph 5(1) of the Articles of Association which shall read as follows:

“The share capital of the Company amounts to PLN 3,711,780 (thousand seven hundred eleven thousand seven hundred and eighty Polish zlotys) and is divided into: 350,000 (three hundred fifty thousand) registered shares and 1,505,890  (one million five hundred five thousand one hundred and ninety) bearer shares of the nominal value of PLN 2 (two Polish zlotys) per share.”

• paragraph 5(2)(13) of the Articles of Association which shall read as follows:

“In the Company, 3,467 (three thousand four hundred and sixty seven) M series bearer shares were issued of the nominal value of PLN 2 (two Polish zlotys) per share.”
